1. Scope
By using or downloading from our Online Platform, you agree to these Terms of Use. The terms apply whether you are a guest, registered user, or customer. These Terms of Use govern only your access to the Online Platform; separate agreements govern subscriptions, products, or services you purchase from us.
In these Terms, the words:
- “you” and “your” refer to any person accessing the Online Platform.
- “Software Outsourcing,” “we,” “us,” and “our” refer to Software Outsourcing Pte. Ltd. and its affiliates or licensors.
Certain words are capitalized for clarity and have specific legal meanings as defined here.
2. Rights and Conditions
You may access and view the text, images, graphics, logos, audio, video, and other materials made available on the Online Platform (collectively, “Content”) solely for personal, non-commercial use. You may print or copy Content for the same purpose.
You may not use the Online Platform or its Content for commercial purposes unless you have received our express written permission. Any unauthorized use is a breach of these Terms and may also violate Singapore law.
3. Singapore; Governing Law
The Online Platform is controlled from Singapore. By using it, you agree that these Terms of Use are governed by Singapore law. Any disputes arising from your use of the Online Platform or these Terms will be resolved under Singapore law and through binding arbitration in Singapore unless otherwise required by law.
4. Content
The Content originates from us and third parties. While we aim to provide accurate, complete, and current information, we do not warrant that the Content is error-free, uninterrupted, or free of viruses or harmful components.
Any ratings, reviews, or advice are for informational purposes only. You are responsible for evaluating their accuracy, completeness, or usefulness.
Links to third-party websites are provided for convenience. We do not control or endorse those sites and are not responsible for their content or your use of them.
5. Account Registration
Some Online Platform features require registration. By creating an account:
- You must provide accurate, complete, and current information and update it as necessary.
- You must maintain confidentiality of your login credentials.
- You are responsible for all activity on your account and must notify us of any unauthorized use.
Account credentials for the Online Platform do not grant access to any paid products or services.
6. Trademarks and Intellectual Property
All logos, names, and marks (“Trademarks”) on the Online Platform are owned by us or our licensors. You may only use them for incidental, non-commercial purposes when printing or copying Content.
No other license or rights to use Trademarks or other intellectual property are granted. Unauthorized use is a breach and may violate Singapore copyright and trademark law.
7. Social Media
Our Online Platform may include links to social media features or platforms (Facebook, LinkedIn, YouTube, etc.). Social media is public, and you should have no expectation of privacy.
Comments on social media represent the views of their authors, not Software Outsourcing. Report inappropriate content to the platform or to us directly at inquiry@softwareoutsourcing.com.
8. Submitted Materials; User-Generated Content
“Submitted Materials” include questions, feedback, or content you provide via the Online Platform. By submitting:
- You represent that you have rights to the material and that it complies with applicable law.
- You grant Software Outsourcing a worldwide, royalty-free, perpetual license to use, reproduce, modify, distribute, and display the material.
You are fully responsible for your Submitted Materials, including legality, accuracy, and appropriateness.
9. Other Policies and Terms
- Collection of personal data is governed by our Privacy Policy.
- Product or service purchases are subject to separate agreements.
- Attempts to bypass sales agreements via Submitted Materials are null and void.
10. Prohibited Conduct
You may not:
- Reverse engineer, copy, or commercially exploit the Online Platform.
- Introduce malware or interfere with operation.
- Defame, harass, or infringe on others’ IP rights.
- Spam, spoof, or misrepresent transmissions.
- Violate Singapore or international law, including export controls.
11. Content Standards
Submitted Materials must not:
- Be defamatory, obscene, or offensive.
- Promote illegal activities, discrimination, or violence.
- Infringe IP rights or legal rights of others.
- Mislead, impersonate, or imply endorsement by us without permission.
12. Monitoring and Enforcement
We may:
- Remove or refuse content that violates Terms or laws.
- Take legal action for illegal or unauthorized use.
- Disclose your identity to third parties claiming rights violations.
- Suspend or terminate access for breaches.
We are not responsible for pre-posting review or immediate removal of objectionable material.
13. Third-Party Websites
(a) Links from our Online Platform: Provided for convenience; we do not control third-party sites. Use them at your own risk.
(b) Links to our Online Platform: Third-party links to our Online Platform must not misrepresent affiliation or incorporate our Content without permission. Obscene, unlawful, or infringing links are prohibited.
14. Disclaimer of Warranties, Liability, and Indemnity
The Online Platform, Content, and services are provided “as is”. To the maximum extent permitted by law, we disclaim all warranties.
We are not liable for any direct, indirect, or consequential damages arising from use or inability to use the Online Platform.
You agree to indemnify and hold us harmless from claims or losses arising from your use or violation of these Terms.
15. Term and Termination
These Terms apply until revised. We may suspend, change, or discontinue access at any time without notice.
16. Miscellaneous
These Terms, our Privacy Policy, and Copyright Policy constitute the entire agreement regarding the Online Platform.
- Waivers or trade practices do not modify these Terms.
- We may assign rights without notice.
- Claims must be filed within one year after they arise.
- Limitations, disclaimers, and indemnities survive termination.
17. Waiver and Severability
Failure to enforce any provision does not constitute waiver. Invalid provisions will be limited as necessary, and remaining provisions remain in effect.
18. Entire Agreement
These Terms, Privacy Policy, Copyright Policy, and any agreements regarding our services are the sole and entire agreement between you and Software Outsourcing.
19. Changes
We may revise these Terms. By continuing to access the Online Platform after revisions, you accept the updated Terms.
20. Copyright Policy
Reporting Copyright Infringement
Software Outsourcing respects copyright law. To report alleged infringement, submit a written DMCA Notice including:
- Your signature.
- Identification of the copyrighted work(s).
- Identification of infringing material.
- Contact information (name, address, phone, email).
- A statement of good faith belief that use is unauthorized.
- Statement of accuracy.
- Statement that you are authorized to act on behalf of the copyright owner.

Counter Notification Procedures
If your material is removed by mistake, submit a Counter Notice including:
- Identification of removed material and its location
- Statement under penalty of perjury of good faith belief of mistake
- Consent to Singapore jurisdiction and acceptance of service
Repeat Infringers
Accounts of repeat infringers may be suspended or terminated.
